Terms of Service

Welcome to Flip Education. Please read these Terms of Service (“Terms”) carefully before using flipeducation.ai and related services (the “Service”) operated by Flip Education (“Flip,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. The Service
1.1 Description
Flip Education is an AI-powered platform that generates structured, active learning classroom experiences (“Missions”) for educators. Missions include lesson plans, printable student materials, a real-time co-teacher dashboard, and supporting resources, all designed to move learning off screens and into physical, collaborative classroom activities.
1.2 Beta / Preview Status
The Service is currently in beta/preview.
This means:
- Features may be added, changed, or removed without prior notice.
- The Service may contain bugs, errors, or inaccuracies.
- Availability may be interrupted for maintenance, updates, or unforeseen issues.
- Generated content should be reviewed by educators before classroom use.
- Data or content stored locally in your browser may be lost during updates.
We provide the Service in its current state to gather feedback and improve. Your use of the beta is voluntary, and we appreciate your patience and input as we develop the platform.
2. Eligibility
2.1 Age Requirement
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old.
2.2 Authority
If you are using the Service on behalf of a school, school district, educational institution, or other organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and the organization.
2.3 Compliance with Laws
You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and institutional policies, including but not limited to education regulations, data privacy laws, and acceptable use policies of your school or district.
3. User Accounts
3.1 Current State
The Service does not currently require an account to use. When we introduce user accounts, the following terms will apply.
3.2 Account Registration (When Available)
When user accounts are introduced, you may be required to register for an account to access certain features. You agree to provide accurate, current, and complete information during registration; keep your account credentials secure and confidential; notify us immediately of any unauthorized access to your account; and accept responsibility for all activity that occurs under your account.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms. You may close your account at any time by contacting us at [email protected].
4. Intellectual Property
4.1 Flip Education’s Intellectual Property
The Service, including its design, code, AI models, prompts, curriculum databases, methodology libraries, branding, and all associated intellectual property, is owned by Flip Education or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service without our prior written consent.
4.2 AI-Generated Mission Content
Ownership. All content generated by the Service (“Generated Content”), including Mission plans, printable materials, images, teacher guides, and associated resources, is owned by Flip Education.
License to You. We grant you a perpetual, non-exclusive, non-transferable, royalty-free license to use, reproduce, modify, and distribute Generated Content for educational and personal professional purposes, including:
- Delivering Missions in your classroom
- Printing and distributing materials to your students
- Adapting Missions to suit your classroom needs
- Sharing Missions with colleagues within your school or institution
- Including Missions in your professional portfolio
Restrictions. You may not: sell, sublicense, or commercially distribute Generated Content as a standalone product; use Generated Content to train, develop, or improve competing AI models or services; remove or alter any Flip Education attribution included in Generated Content; or represent Generated Content as created without AI assistance where disclosure is required by your institution or jurisdiction.
Our Use. We may use Generated Content in anonymized and aggregated form to improve the Service, train our AI models, develop new features, and for promotional purposes (such as example Missions on our website). We will not publicly attribute specific Generated Content to you without your consent.
4.3 Your Content
If you provide feedback, suggestions, mission ratings, or other content to us (“Your Content”), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and distribute Your Content for any purpose related to the Service. You retain ownership of Your Content.
4.4 Curriculum and Standards
The curriculum standards, frameworks, and alignment codes referenced within the Service (such as Common Core State Standards, NGSS, BNCC, UK National Curriculum, and others) are the intellectual property of their respective owners and are used for educational reference purposes. Flip Education does not claim ownership of these standards.
5. Acceptable Use
5.1 Permitted Uses
The Service is intended for use by educators and education professionals to create and deliver active learning experiences in educational settings.
5.2 Prohibited Uses
You agree not to:
- Use the Service to generate content that is harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Use the Service to generate content that promotes discrimination, hatred, or violence against any individual or group
- Attempt to reverse-engineer, decompile, or disassemble the Service or its AI components
- Use automated scripts, bots, or crawlers to access the Service without our written permission
- Interfere with or disrupt the Service’s infrastructure, security, or other users’ access
- Use the Service to generate content for purposes unrelated to education without our consent
- Misrepresent Generated Content as human-authored where AI disclosure is required
- Use the Service in violation of any applicable law or regulation
- Attempt to circumvent any usage limits, access controls, or technical restrictions
- Access or attempt to access any other user’s account or data
5.3 Enforcement
We reserve the right to investigate and take appropriate action against any violation of these Terms, including removing content, suspending or terminating access, and reporting violations to law enforcement where appropriate.
6. AI-Generated Content Disclaimer
6.1 No Guarantee of Accuracy
The Service uses artificial intelligence to generate educational content. While we strive for quality and accuracy, AI-generated content may contain factual errors, inaccuracies, or outdated information; reflect biases present in training data; not perfectly align with specific curriculum standards or institutional requirements; or vary in quality across different topics, methodologies, or grade levels.
6.2 Educator Responsibility
You are responsible for reviewing all Generated Content before use in a classroom.
Generated Content is intended as a starting point and professional resource, not a substitute for your pedagogical expertise and judgment. You should verify factual claims and historical accuracy, ensure content is appropriate for your students’ age group and context, adapt materials to meet your institution’s specific standards and policies, and exercise professional judgment regarding classroom safety and suitability.
6.3 No Endorsement
Inclusion of any topic, perspective, or viewpoint in Generated Content does not constitute an endorsement by Flip Education. The Service generates content based on curriculum inputs and AI models, not editorial opinion.
6.4 AI-Generated Visual, Media, and Multimodal Content
The Service may generate or incorporate AI-produced content in any format, including but not limited to images, illustrations, diagrams, audio, video, animations, interactive elements, and other media (collectively, “AI-Generated Media”). AI-Generated Media is subject to all disclaimers in this Section 6 and carries additional limitations specific to non-text content:
- AI-Generated Media may depict people, settings, objects, or scenarios in ways that reflect biases, stereotypes, or inaccuracies present in the underlying model’s training data.
- Visual representations may inaccurately portray cultural practices, symbols, attire, historical events, physical characteristics, disabilities, gender expression, or ethnic and racial diversity.
- AI-Generated Media may contain artifacts, anatomical inaccuracies, distortions, or other imperfections inherent to current and future AI generation technologies.
- AI-Generated Media may not equitably or accurately represent the diversity of students, communities, and cultures in your classroom or institution.
- Audio or video content, if generated, may contain unnatural speech patterns, mispronunciations, or culturally inappropriate tonal or musical elements.
You must review all AI-Generated Media for appropriateness, accuracy, cultural sensitivity, and suitability before presenting it to students or incorporating it into educational materials. You are solely responsible for determining whether any AI-Generated Media is suitable for your educational context, student population, and institutional standards.
6.5 Content Reporting
If you encounter any Generated Content (including text, images, or any other AI-generated output) that you believe is inaccurate, biased, culturally insensitive, stereotypical, inappropriate, offensive, or otherwise harmful, we encourage you to report it to [email protected]. We review reports to improve our content safety measures, AI prompt design, and output filtering. Reporting does not create an obligation for Flip Education to take any specific action with respect to any individual report, but we take all reports seriously and use them to continuously improve the Service.
6.6 Content Safety Measures
Flip Education implements commercially reasonable content safety measures (including prompt-level guardrails, content filtering, model selection criteria, and ongoing monitoring) to reduce the likelihood of harmful, biased, or inappropriate AI-generated output across all content types and modalities. These measures are continuously improved as AI safety practices evolve, but no automated system can guarantee that all AI-generated output will be free of bias, inaccuracy, cultural insensitivity, or offense. The inherent limitations of AI technology mean that unexpected or undesirable outputs may occur despite our best efforts.
6.7 AI Transparency and Labeling
All content generated by the Service, including text, images, and any other media, is produced in whole or in part by artificial intelligence. Flip Education is committed to transparency regarding AI-generated content and will implement technical labeling, metadata, watermarking, or other disclosure measures as required by applicable law, including but not limited to the European Union Artificial Intelligence Act, Canada’s Artificial Intelligence and Data Act (when enacted), and similar legislation in other jurisdictions. You agree to preserve any AI-generation labels, metadata, or disclosures embedded in Generated Content where required by applicable law.
6.8 Evolving AI Capabilities
The Service may incorporate new or different AI models, providers, modalities, or capabilities over time without prior notice. All AI-generated output, regardless of the specific model, provider, technology, or content format used to produce it, is subject to the disclaimers, limitations, and educator responsibilities set forth in this Section 6 and throughout these Terms. Our adoption of new AI technologies does not alter the allocation of responsibility between Flip Education and you as set forth herein.
7. Third-Party Services
The Service relies on third-party AI providers (including Google Gemini via OpenRouter) to generate content. We do not control these providers and are not responsible for their performance, availability, or changes to their services. Disruptions to third-party AI services may affect the availability or quality of the Service.
The Service is hosted on Vercel’s infrastructure. Your use of the Service is also subject to Vercel’s terms and policies regarding infrastructure availability and security.
As we introduce additional features (such as payment processing, authentication, or analytics), we may integrate with additional third-party services. We will update these Terms and our Privacy Policy to reflect any material new integrations.
8. Fees and Payment
8.1 Current Pricing
The Service is currently offered free of charge during the beta/preview period.
8.2 Future Pricing (When Introduced)
When we introduce paid subscription plans:
- Pricing and features for each plan will be clearly displayed on the Service before you subscribe.
- Billing will be processed by a third-party payment processor. You agree to provide accurate billing information and to keep it current.
- Subscriptions will renew automatically at the end of each billing cycle unless you cancel before the renewal date.
- You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. We do not offer refunds for partial billing periods.
- We may change our pricing with at least 30 days’ notice. Price changes will take effect at the start of your next billing cycle after the notice period.
- We intend to always offer a free tier with limited functionality. However, we reserve the right to modify the features available in any tier.
9. Disclaimer of Warranties
The Service is provided “as is” and “as available,” without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, Flip Education disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and results.
Without limiting the foregoing, Flip Education makes no warranty or representation that AI-generated content, including text, images, media, or any other output in any format or modality, will be accurate, complete, unbiased, culturally appropriate, free from stereotypes, suitable for any particular audience or age group, or fit for any specific educational purpose. The quality, accuracy, and appropriateness of AI-generated content may vary based on factors beyond our control, including the capabilities and limitations of underlying AI models and the specificity of input parameters.
No advice or information obtained from Flip Education, whether oral or written, creates any warranty not expressly stated in these Terms.
10. Limitation of Liability
10.1 Exclusion of Damages
To the fullest extent permitted by applicable law, Flip Education shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities; cost of substitute services; damages arising from classroom disruptions, lesson plan failures, or student outcomes; damages arising from reliance on AI-generated content of any type or modality (including text, images, audio, video, and other media); damages arising from biased, stereotypical, culturally insensitive, inaccurate, or offensive AI-generated content; or damages arising from the failure of content safety measures to prevent any particular AI-generated output.
This exclusion applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Flip Education has been advised of the possibility of such damages.
10.2 Liability Cap
Flip Education’s total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total amount you paid to Flip Education in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) ten Canadian dollars (CAD $10.00).
10.3 Basis of the Bargain
You acknowledge that Flip Education has set its prices (including offering the Service for free) and entered into these Terms in reliance upon the disclaimers and limitations of liability set forth herein, which reflect a reasonable and fair allocation of risk and form an essential basis of the bargain between us.
11. Indemnification
You agree to indemnify, defend, and hold harmless Flip Education, its founders, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: your use of the Service; your violation of these Terms; your violation of any applicable law or regulation; your use of Generated Content (including AI-generated text, images, media, and any other output) in your classroom, institution, or any other setting; your failure to review Generated Content for appropriateness, accuracy, or cultural sensitivity before use; any claim that Generated Content used by you infringed upon, misappropriated, or violated any third party’s rights, including intellectual property, privacy, or publicity rights; or any dispute between you and your students, parents, school, district, or other third party arising from your use of the Service or Generated Content.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating formal dispute resolution, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. Most concerns can be resolved quickly and amicably through direct communication.
12.2 Binding Arbitration
If we cannot resolve a dispute informally, you and Flip Education agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding arbitration administered in accordance with the Arbitration Act of Alberta (or the applicable provincial or federal arbitration legislation in Canada). Arbitration shall be conducted in Edmonton, Alberta, Canada (or by videoconference if both parties agree), before a single arbitrator.
The arbitrator’s decision shall be final and binding, and judgment on the arbitration award may be entered in any court of competent jurisdiction.
You and Flip Education agree that arbitration shall be conducted on an individual basis only. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class, collective, or representative proceeding.
12.3 Class Action Waiver
You and Flip Education agree that each may bring claims against the other only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action. Unless both you and Flip Education agree otherwise in writing, the arbitrator may not consolidate or join more than one person’s or party’s claims.
12.4 Exceptions
Notwithstanding the above, either party may: (a) bring an individual action in small claims court for disputes within that court’s jurisdiction; or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
12.5 Opt-Out
You may opt out of this arbitration and class action waiver by sending written notice to [email protected] within thirty (30) days of your first use of the Service. The notice must include your name, the email associated with your use of the Service (if any), and a clear statement that you wish to opt out of the arbitration and class action waiver provisions. If you opt out, disputes will be resolved in the courts specified in Section 13.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.
If you opt out of arbitration under Section 12.5, or for any dispute not subject to arbitration, you and Flip Education agree to the exclusive jurisdiction of the courts of the Province of Alberta, sitting in Edmonton, Alberta, Canada.
14. Changes to These Terms
We may modify these Terms at any time. If we make material changes, we will provide at least fifteen (15) days’ notice before the changes take effect by posting a notice on the Service or, where we have your email address, by email.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
15. Termination
15.1 By You
You may stop using the Service at any time. If you have a paid subscription, cancellation terms under Section 8.2 apply.
15.2 By Us
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, abusive or harmful conduct, or discontinuation of the Service.
15.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately.
- Any Generated Content stored locally in your browser remains on your device.
- Sections that by their nature should survive termination will survive, including Sections 4 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 12 (Dispute Resolution), and 13 (Governing Law).
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Flip Education regarding the Service and supersede all prior agreements, understandings, and communications.
16.2 Severability
If any provision of these Terms is found to be unenforceable or invalid by a court or arbitrator, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16.3 Waiver
Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or the right to enforce it at a later time.
16.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets without your consent.
16.5 Force Majeure
Flip Education shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, third-party service disruptions, or acts of war or terrorism.
16.6 Notices
Notices to Flip Education must be sent to [email protected]. Notices to you may be provided through the Service or, where we have your email address, by email. Email notices are deemed received 24 hours after sending.
16.7 No Agency
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Flip Education.
17. Educational Institution Provisions
17.1 School and District Use
If you are using the Service as part of a school or district deployment: the individual who accepts these Terms on behalf of the institution must have the authority to do so; the institution is responsible for ensuring that its educators use the Service in compliance with these Terms and applicable institutional policies; and we will work with institutions to execute supplementary agreements (such as Data Processing Agreements or Student Data Privacy Agreements) upon request.
17.2 Institutional Licensing (When Available)
When we introduce institutional licensing (school or district plans), additional terms specific to institutional use may apply and will be provided as part of the licensing agreement.
